1. Agreement to These Terms

These Terms of Service form a binding agreement between you and ikiro regarding your access to and use of our websites, dashboard, messaging-based companion features, and related services (collectively, the "Service").

If you do not agree to these Terms, do not use the Service. Our Privacy Policy is incorporated into these Terms by reference.

2. Description of the Service

ikiro provides an AI companion platform with conversational features, memory features, onboarding analysis, optional integrations (such as Google services), account management tools, and related abilities.

We may modify, add, suspend, or discontinue any feature at any time, including imposing limits on functionality or availability.

3. Eligibility and Accounts

• You must be legally able to enter into this agreement in your jurisdiction.
• You must provide accurate account information and keep it updated.
• You are responsible for activity under your account and for maintaining credential/device security.
• We may require phone verification, OTP checks, or other account verification steps.
• You must promptly notify us of suspected unauthorized account access.

4. Subscriptions, Billing, and Trials

Some features require a paid plan. Pricing, plan details, and trial eligibility are displayed at checkout or in-product billing pages.

• Payments are processed by Stripe or other authorized processors.
• ikiro does not store full payment card numbers on its own servers.
• Paid plans may auto-renew unless canceled before renewal.
• Trial offers (if available) convert to paid plans unless canceled before trial end.
• You authorize us and our payment processor to charge the payment method you provide for applicable fees, taxes, and related charges.
• Unless otherwise required by law or explicitly stated at purchase, fees are non-refundable.
• We may change pricing prospectively; changes apply to future billing cycles as permitted by law.
• Payment method disputes, chargeback processes, and processor-side controls are governed by the applicable payment processor terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate law, regulations, or third-party rights.
• Harass, threaten, stalk, defame, or otherwise harm others.
• Create, distribute, or solicit illegal, abusive, exploitative, or fraudulent content.
• Create or distribute child sexual abuse material (CSAM) or other sexually exploitative content.
• Use the Service for facial recognition, social scoring, political campaigning/manipulation, or other prohibited model-provider use cases.
• Attempt to bypass security controls, scrape, reverse engineer, or interfere with system integrity.
• Upload malware or engage in phishing, spam, credential theft, or unauthorized automation.
• Use the Service to facilitate illicit transactions, gambling operations, money laundering, or unauthorized financial activity.
• Represent Service outputs as professional financial advice or regulated financial services.
• Use the Service to make high-risk decisions where errors can cause death, injury, or significant legal/financial harm.

Your use of ikiro must also comply with applicable usage policies of our underlying AI providers (including provider safety and acceptable use restrictions), as those policies may be updated from time to time.

We maintain zero tolerance for objectionable abuse content. We may remove content and permanently suspend or ban accounts for severe or repeated violations.

Users can report objectionable content through available in-product reporting tools and support channels (including support tickets). Where available in an interface, users may also block or mute abusive accounts.

6. Your Content and Licenses

You retain ownership of content you submit to the Service ("Inputs"), such as messages, images, and uploads. You grant ikiro a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Inputs as needed to operate, secure, and improve the Service.

You represent that you have all rights necessary to submit content and that your content does not violate law or third-party rights.

Subject to your compliance with these Terms, ikiro assigns to you any right, title, and interest it may have in output generated specifically for you by the Service ("Outputs").

We do not guarantee Outputs are unique, non-infringing, or eligible for copyright protection. Similar or identical outputs may be generated for other users.

Subject to these Terms, we grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service for personal, lawful use.

7. Third-Party Services

The Service may interoperate with third-party providers (for example messaging platforms, payment processors, model providers, and OAuth-connected services). Your use of third-party services is subject to their separate terms and privacy policies.

If you connect external accounts, you authorize us to access and process authorized data needed to provide requested features. You can revoke access from the Service settings where available.

8. AI and Safety Notices

The Service uses AI models that can generate incorrect or misleading outputs. You are responsible for evaluating outputs before relying on them.

• Do not treat the Service as a substitute for professional medical, legal, financial, or mental-health advice.
• Do not use the Service for emergency or crisis response. If there is an emergency, contact local emergency services immediately.
• Outputs may be similar for different users and are provided on an informational basis.
• Violating AI provider safety rules may result in immediate feature restrictions, suspension, or termination of your account.

9. Suspension and Termination

You may stop using the Service at any time. You may request account deletion in settings where available.

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, pose a security risk, or where required by law. Upon termination, Sections that by nature should survive (including payment obligations, disclaimers, liability limits, indemnity, and dispute provisions) will survive.

10. Disclaimers

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will always be corrected.

11. Limitation of Liability

Some jurisdictions do not allow certain disclaimers or limitations. In those jurisdictions, parts of this section apply only to the extent permitted by law.

12. Indemnity

You agree to defend, indemnify, and hold harmless ikiro and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Service, your content, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Before filing a claim, you agree to attempt informal resolution by contacting legal@ikiro.ai with a written notice of dispute. If the dispute is not resolved within 30 days, either party may bring claims exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction in those courts.

14. General Terms and Contact

• These Terms and the Privacy Policy are the entire agreement between you and ikiro regarding the Service.
• If a provision is found unenforceable, the remainder of these Terms will remain in effect.
• Our failure to enforce a provision is not a waiver of future enforcement.
• You may not assign these Terms without our prior written consent; we may assign these Terms as part of a corporate transaction.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
